Terms of Use

These terms cover this website. Organizations that license the GuideHerd platform do so under a separate written agreement, and that agreement governs their use.

1. Who these terms are between

These terms are an agreement between you and GuideHerd LLC (“GuideHerd”, “we”, “us”). They apply when you browse this website. Using it means you accept these terms; if you do not, please do not use it.

If you are agreeing on behalf of a firm or company, you are confirming that you are authorized to bind it, and “you” means that organization.

2. Where a separate agreement takes over

Organizations that deploy the GuideHerd platform sign a written services agreement with us covering their use, their data, service levels, and liability. Where that agreement and these terms disagree, that agreement controls for everything within its scope. These terms fill the gaps around it; they do not replace it.

3. What GuideHerd is — and is not

GuideHerd is administrative and operational software. We are not a law firm and we do not provide legal advice. We do not decide conflicts and we do not form attorney-client relationships. GuideHerd may prepare, send, or facilitate communications and take configured operational actions according to workflows a customer has approved. Customers remain responsible for how those workflows are configured and for appropriate oversight of them.

Automated assistance

Parts of GuideHerd draft, summarize, transcribe, and route work automatically. AI-generated content can be incomplete or wrong, and should receive human review appropriate to the risk involved. GuideHerd may also perform operational actions automatically — scheduling, routing, notifications, and other approved workflows — where a customer has explicitly configured it to do so. Customers remain responsible for those configurations, and for what their organization sends, files, schedules, and relies on.

4. Your account

• Give accurate information when you register, and keep it current.
• Keep your sign-in credentials confidential. Anything done through your account is treated as done by you.
• Tell us promptly at hello@guideherd.ai if you believe someone else has access to it.

5. Acceptable use

Use GuideHerd for its purpose, lawfully, and without degrading it for anyone else. Do not:

• break the law, infringe someone’s rights, or use GuideHerd to help someone else do either;
• attempt to gain access to accounts, data, or systems you are not entitled to;
• probe, scan, overload, or interfere with the service or the infrastructure behind it;
• copy, resell, sublicense, or publicly redistribute our content, or record and republish it;
• scrape or bulk-extract content from our sites by automated means;
• reverse engineer or attempt to derive our source code, except where law expressly permits it;
• upload material that is unlawful, malicious, or that you have no right to submit;
• misrepresent GuideHerd’s capabilities, or present its output as reviewed professional advice.

If you find a security problem, please tell us at hello@guideherd.ai before disclosing it publicly, and give us a reasonable chance to fix it. We will not pursue good-faith research that respects the boundaries above.

6. Intellectual property

Ours. GuideHerd owns the platform, this website, and the GuideHerd name and marks. Nothing else transfers.

Yours. Content and data your organization puts into GuideHerd stays yours. You grant us only the permission we need to host, process, and deliver the service to you — nothing more, and nothing that survives your leaving beyond what law or a signed agreement requires.

Feedback. If you send us suggestions, we may act on them freely and without obligation. We will not identify you as the source without asking.

7. Third-party services

GuideHerd works with services other companies operate — payment processing, calendars, telephony, practice-management systems, and others named in our Privacy Policy. Those services are governed by their own terms and their own privacy practices. Where you connect one to GuideHerd, you confirm you are entitled to do so, and we are not responsible for how that provider behaves or for changes it makes to its own service.

8. Availability

We work to keep GuideHerd running and we publish current condition on our service status page. We do not commit to a specific uptime figure on these terms; a service commitment, where one exists, lives in an organization’s written agreement. We may perform maintenance, and we may change, suspend, or discontinue features. Where a change materially reduces something you rely on, we will give reasonable notice.

9. Suspension and termination

You may stop using GuideHerd at any time and cancel your subscription as described above. We may suspend or end access where these terms are breached, where use threatens the service or another customer, where payment fails, or where the law requires it. We will tell you why, and where the situation reasonably allows it, we will give you a chance to put it right first.

10. Disclaimers

Except where these terms say otherwise, and to the extent the law allows, this website is provided as it is, without warranties of any kind, whether express or implied — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any particular result will follow from using it.

11. Limitation of liability

To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of these terms — even if the possibility was known.

To the extent the law allows, our total liability arising out of these terms is limited to the amounts you paid us in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited, and some jurisdictions do not allow some of these exclusions, in which case they apply to you only as far as they lawfully can.

12. Changes to these terms

These terms describe how GuideHerd operates today, and they will be updated as the platform grows. When we change them, the date at the top of this page changes with them. Where a change materially affects people who hold a subscription, we will tell them rather than relying on this page alone, and continuing to use GuideHerd after a change takes effect means accepting the updated terms.
